Position Summary:

The Senior Corporate Counsel is a mix of legal and compliance roles, reporting into the General Counsel, that will have exposure to a wide range of transactional, compliance and regulatory topics that impact the entire business. 

The Senior Corporate Counsel will be responsible in providing day to day legal representation, advice, and support to a wide range of legal, regulatory and compliance matters involving all business segments of the company. The Senior Corporate Counsel is expected to draft, review, and negotiate  a wide range of commercial contracts, including purchase and sale agreements, licensing and non-disclosure agreements, partnership agreements, consulting contracts and research and development agreements. The Senior Corporate Counsel is also expected to assist on transactional matters, including due diligence on mergers and acquisition matters, joint venture agreements and other partnership agreements, review, and negotiation of transactional agreements, including Share and Asset Purchase agreements and ancillary agreements. Position will involve research of legal matters, preparing reports, managing outside counsel, assistance on wide range of compliance matters, including matters related to anti-bribery and corruption, antitrust, fraud and securities regulation. The Senior Corporate Counsel is expected to work independent to identify complex problems and build trusted professional relationships within the department and internal Perimeter Solutions clients relating to the area of specialty.

This position will report into the General Counsel and be responsible for managing a paralegal within the legal department.

Responsibilities:

  • Provide day to day legal representation, advice, and support to the Fire Safety and Oil Additives business segments
  • Negotiate complex commercial arrangements, including procurement, logistics and supply agreements, research and development agreements, service provider agreements and license and non-disclosure agreements.
  • Assist in transactional matters, which may include assisting in due diligence matters, negotiating purchase and sale agreements, joint venture and partnership agreements, licensing and tolling and supply agreements.
  • Provide compliance support to the company on topics related to anti-bribery and corruption, antitrust, fraud, securities regulation and conflict of interest.
  • Manage  a outside counsel network, coordinate the handling of specific proceedings, projects or issues.
  • Assist in resolving legal and compliance issues arising with our offices in Europe and Australia
  • Work independently to identify risks and issues and recommend solutions to solve complex problems.
  • Lead and be accountable for projects.
  • Identify process improvements and drive change.
  • Identify risks and offer solutions for resolving projects, working with minimal guidance, and build trusted professional relationships throughout the organization.
  • Build  a strong compliance culture within the company

Qualifications:

  • Juris Doctorate Degree (J.D.) from an accredited law school required.
  • Five or more years of experience in a law firm, corporate legal department, or other comparable legal setting with  experience in transactional and compliance matters.
  • Licensed, eligible to practice or able to seek admission in Missouri required.
  • Proficiency in general corporate matters required. Additional specialty in the chemical industry, or in compliance, regulatory matters, or M&A preferred.
  • Proficiency with general computer skills. Additional language skills (Spanish, French or German) a plus
